Terms of Service

By accessing optiaitech.com or using any service provided by OptiAI Tech Pvt Ltd, you agree to these Terms. If you accept on behalf of a company, you confirm you have authority to bind that entity, and 'you' refers to that entity.

Our services and products are intended solely for business and professional use. They are not offered to consumers for personal, family, or household purposes. By using them you confirm you are acting on behalf of a business.

OptiAI Tech provides software development services, AI integration, and SaaS products. All project engagements are governed by a separate Statement of Work (SOW) agreed between both parties.

You agree not to misuse the services, including: violating any law, infringing the rights of others, attempting to gain unauthorised access, reverse-engineering our products except as permitted by law, disrupting the service, or using it to store or transmit unlawful or harmful content. We may suspend access for breach.

Code and deliverables developed for your project transfer to you upon full payment as specified in the SOW. OptiAI Tech retains rights to general methodologies, frameworks, and reusable components.

Project payments follow the schedule in the signed SOW. SaaS subscriptions (for products like Opswake) are billed per that product's plan and renew automatically until cancelled, unless stated otherwise. All fees are exclusive of taxes; applicable GST and other taxes will be added. Fees are non-refundable unless otherwise specified in writing.

These Terms apply while you use our services. Either party may terminate an engagement as set out in the SOW or subscription plan. We may suspend or terminate access for non-payment, breach of these Terms, or where required by law. Accrued payment obligations and clauses intended to survive — including intellectual property, confidentiality, liability, and governing law — continue after termination.

Both parties agree to keep confidential any non-public information shared during a project engagement. This obligation survives termination of the engagement for 2 years.

Each party will comply with applicable data protection laws, including the DPDP Act 2023 and, where relevant, the GDPR. Where we process personal data on your behalf, we do so as a processor under a Data Processing Agreement, which is incorporated by reference. See our Privacy Policy for details.

We provide our services with reasonable skill and care. Except as expressly stated and to the extent permitted by law, our products and services are provided 'as is' without warranties of any kind, including fitness for a particular purpose, uninterrupted availability, or error-free operation.

Except for liability that cannot be excluded by law (including fraud, gross negligence, or death or personal injury caused by negligence), OptiAI Tech's total liability for any claim is limited to the fees paid in the 3 months preceding the claim. We are not liable for indirect, incidental, or consequential damages, or for loss of profits, data, or goodwill.

You agree to indemnify OptiAI Tech against claims arising from your misuse of the services, your breach of these Terms, or content or data you provide that infringes a third party's rights or applicable law.

Neither party is liable for delays or failures caused by events beyond its reasonable control, including natural disasters, outages, acts of government, or network failures.

We may update these Terms from time to time. Material changes will be communicated via email or site notice with reasonable advance notice. Continued use after changes take effect constitutes acceptance.

These terms are governed by the laws of India. Disputes are subject to the exclusive jurisdiction of courts in Pune, Maharashtra, India.

If any provision is held unenforceable, the rest remain in effect. You may not assign these Terms without our consent; we may assign them to an affiliate or successor. These Terms, together with any SOW and product terms, are the entire agreement between the parties. Our failure to enforce a provision is not a waiver of it.
